Covered Access — Monthly Billing (PRO-INV)
This Professional Partner Access Agreement ("Agreement") is entered into between AfterMatters LLC (EIN: 41-4841730, anthony@aftermatters.ai, 813-802-8300) and the professional partner ("Partner") who completes and submits the Professional Access Application on aftermatters.ai/professionals/. By checking the authorization box and submitting the application, Partner agrees to all terms of this Agreement.
AfterMatters LLC agrees to provide Partner with covered access codes that allow Partner's clients to access the AfterMatters application at no cost to the client. Partner agrees to pay AfterMatters LLC for each redemption of such codes, as described in this Agreement.
AfterMatters LLC will issue a PRO-INV access code to Partner following review and approval of the application. The code will be in the format PRO-INV-[FirmName].
All payments under this Agreement are final. AfterMatters LLC does not offer refunds on redeemed access codes. Clients who activate access under a PRO-INV code are not eligible for the standard consumer refund. Codes that are not redeemed are not billed — Partner is only invoiced for actual activations.
If Partner fails to pay an invoice within 15 days of the due date, AfterMatters LLC may, at its sole discretion:
AfterMatters LLC will provide written notice before taking any of the above actions.
Both parties agree to keep the specific terms of this Agreement, including pricing and billing arrangements, confidential. Neither party will disclose these terms to third parties without the other's written consent, except as required by law.
This Agreement does not create an employment, agency, joint venture, or partnership relationship between the parties. AfterMatters LLC and Partner are independent parties. AfterMatters LLC does not endorse, supervise, or assume liability for any services provided by Partner to Partner's clients.
AfterMatters provides an administrative guidance tool only. It does not provide legal, financial, medical, or professional advice. AfterMatters LLC's total liability under this Agreement shall not exceed the amounts paid by Partner in the prior 30 days.
This Agreement begins on the date the application is submitted and continues on a month-to-month basis. Either party may terminate with 30 days written notice. Termination does not relieve Partner of any outstanding payment obligations for redemptions that occurred prior to termination.
Partner's submission of the Professional Access Application with the billing authorization checkbox checked constitutes a valid electronic signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Florida Electronic Signatures Act. This electronic authorization is legally binding and enforceable to the same extent as a handwritten signature.
This Agreement is governed by the laws of the State of Florida. Any disputes shall be resolved in Hillsborough County, Florida.
This Agreement constitutes the entire understanding between the parties regarding covered access billing and supersedes any prior conversations or representations. Amendments must be made in writing and signed by both parties.
